CONSTITUTION
CHAPTER 1. INTRODUCTION Article I The name of this Institute shall be the Chinese Institute of Civil and Hydraulic Engineering. Article 2 The objective of this Institute shall be to advance the science and practice of civil and hydraulic engineering through the fraternal efforts of civil and hydraulic engineers. Article 3 The headquarters of the Institute shall be established where the Central Government of the Republic of China is located. Article 4 Each local chapter may be established with a minimum of 50 members upon approval of the Board of Directors. The rules of the organization for the local chapters shall be provided separately. CHAPTER II. ACTIVITIES Article 5 The activities of the Institute shall be as follows. (1) Conducting of research on civil and hydraulic engineering sciences; (2) Development of new technology in civil and hydraulic engineering; (3) Promotion of civil and hydraulic engineering works; (4) Rendering of consulting services in the field of civil and hydraulic engineering; (5) Publication of books and periodicals on civil and hydraulic engineering; (6) Cultivation of experts and technicians for advancement of civil and hydraulic engineering. CHAPTER Ill. MEMBERSHIP Article 6 The membership of the Institute shall consist of Full Members, Junior Members, Institutional Members and Honorary Members. (1) Full Members: A Full Member, at the time of admission, shall have graduated from the civil or hydraulic engineering department or a related department of a university or college and have engaged in the practice of or research on such engineering for not less than two years; shall also be willing to abide by the objective of and to fulfill the obligation of this Institute. Applicants for admission must be recommended by two Full Members and shall be subject to qualification review and approval of the Board of Directors. (2) Junior Members: A Junior Member, at the time of admission, shall be a student in the civil or hydraulic engineering department or a related department of a university or college, or engaged in the practice of or research on such engineering for less than two years; shall also be willing to abide by the objective and to fulfill the obligation of this Institute. Applicants for admission must be recommended by two Full Members and shall be subject to qualification review and approval of the Board of Directors. (3) Institutional Members: Any public or private organization whose activities are related to civil and hydraulic engineering may be admitted as an Institutional Member through the recommendation of three Full Members and upon the approval by the Board of Directors. The applicant for the membership who has been approved by the Board of Directors and pay the initiation fee may be admitted by the Institute to be a member. The institutional member shall assign one representative to exercise its rights and privileges or stipulated in Article 12. Any member, who has attained acknowledged eminence in the practice or advancement of civil or hydraulic engineering, may be elected as a Honorary Member. The procedure for this election shall be provided separately. Article 7 The passing of a national or governmental advanced examination or other special examination in related civil or hydraulic engineering shall be considered as equivalent to graduation from a university or college. Vocational high school graduates of related departments who have either passed the said examination or been officially rated as a civil or hydraulic technician may also be eligible for membership after two years of practical engineering experience. Article 8 After two years of practical engineering experience and are verified by two Full Members, the Junior Members may apply for advancement to Full Membership subject to the approval of the Board of Directors. Article 9 Any member of the Institute may resign upon the following reasons:
Any paid dues of the member resigned from the Institute shall not be refunded. Article 10 Any member of the Institute who violates the constitution of this Institute or denigrates its reputation by word or deed, shall be subjected to censure or expulsion from the Institute, which shall to be decided upon by the Board of Directors on charges presented by Full Members of the Institute and substantiated by the Supervisors. Article 11 The obligations of membership shall be as follows: (1) To abide by the Constitution, Code of Ethics, and resolutions adopted by the Institute; (2) To serve when elected to office and to render services as designated by the Institute; (3) To pay all fees and dues; (4) To help and develop the operations of the Institute. Article 12 The rights and privileges accorded to membership shall be as follows: (1) Honorary Members, Full Members and Institutional Members shall have the right to participate in debate, to vote, to elect and to be elected as officers of the Institute. Junior Members shall have the right to participate in debate; (2) Members may join all activities and enjoy all benefits of the Institute; (3) All members may apply for assistance within the scope and capacity of the Institute. CHAPTER IV. ORGANIZATIONS Article 13 The supreme powers of the Institute shall be vested in the General Assembly to formulate and to amend the Constitution and to debate principal motions. The Board of Directors shall exercise these powers when the General Assembly is not in session. Article 14 The officers of the Institute shall consist of twenty-three Directors (including a President, two Vice Presidents), five Supervisors (including a Resident Supervisor), seven Standby Directors and one Standby Supervisors, they shall be elected by ballots cast by all the voting members of the Institute. The Board of Directors and a Board of Supervisors shall be organized accordingly. Article 15 The President shall oversee all the activities of the Institute and shall be the official representative of the Institute. When necessary, he shall appoint one of the Vice Presidents to act on his behalf. Article 16 The authority of the Board of Directors shall be as follows: (1) To implement resolutions passed at General Assemblies or annual meetings; (2) To deliberate and decide upon general policies of the Institute (3) To approve appointments of Institute's staff; (4) To approve the budget of the Institute; (5) To approve applications for and accept resignations of membership; (6) To deliberate and act upon other important matters of the Institute. Article 17 The Resident Supervisor of the Institute shall manage the affairs of the Board of Supervisors. Article 18 The authority of the Board of Supervisors shall be as follows: (1) To supervise the keeping of the Foundation Fund and expenditure of the Institute; (2) To audit financial statements; (3) To investigate and handle disciplinary cases; (4) To carry out other supervisory duties. Article 19 The Institute shall have a Secretary General and a Deputy Secretary General to manage the affairs of the Institute under the direction of the President. There should have some staff to carry out the clerical work, general affairs, accounting, treasurer's duties, book keeping and publishing periodicals and other service. All the personnel mentioned shall be appointed by the President with the approval of the Board of Directors.
Article 20 The Institute shall have a Finance Committee to manage the financial affairs of the Institute. The Chairman of the Committee shall be appointed by the President. The Members of the Committee shall be appointed by the Chairman with the approval of the President. The Chairman and members of the Committee shall serve a term of two years. Article 21 The Institute may establish other Committees to carry out functions of the Institute. The constitutions of such Committees shall be provided for separately. Article 22 In order to strengthen its consulting services, the Institute may organize a public service department, and the constitution of such department shall be provided for separately. Article 23 Members of the Institute serving in staff capacities shall do so voluntarily, and shall receive no remuneration. Article 24 Newly elected or appointed officers of the Institute shall assume their offices not later than fifty days after the close of the General Assembly or annual meeting.
CHAPTER V. ELECTIONS Article 25 The terms of Directors and Supervisors shall be two years. They shall be eligible for reelection. The President shall be eligible for reelection to one additional term only. Article 26 The election of President and Supervisors shall be conducted according to the civil institution nomination rules and regulations issued by Government. The election shall be conducted by meetings or by mail ballots circulated to all voting members of the Institute. Vice president shall be elected from and by directors; and the president shall be elected by directors from the new vice presidents. Resident supervisors shall be elected from and by supervisors. The candidates roster for directors and supervisors upon the resolution of General Assembly shall be nominated by Board of Directors before election (But votes may also be cast for eligible candidates who are not officially nominated). The election shall be completed within one month before the end of the term of Directors and Supervisors CHAPTER VI. MEETINGS Article 27 The General Assembly of the Institute including Periodical Meeting (Annual Meeting) and Special Meeting shall be called by the President. Periodical Meeting shall be held once every year; Special Meeting may be convened by the decision of the Board of Directors or by the request of over 1/5 members or by written request of Board of Supervisors. The time and place of the Annual Meeting or Special Meetings shall be determined by the Board of Directors. Article 28 The resolutions of the General Assembly shall be approved by over 50% or the majority of the attendants. However, the following resolutions shall be approved by over 2/3 of the attendants of the General Assembly:
Article 29 The Boards of Directors and Supervisors shall hold separate meetings once every two months to be chaired by the President and Resident Supervisor respectively. Special meetings may also be convened when necessary. The President may call and chair a joint meeting of the Directors and Supervisors to deliberate and decide upon important matters of the Institute. The resolutions of the above mentioned meetings shall be approved by more than 50% or the majority of the Directors and Supervisors attended. The Secretary General , Deputy Secretary General and Chairmen of Committees shall attend meetings of the Board of Directors and submit activity reports. Article 30 Any Director and Supervisor shall attend to the Board Meetings in person. The proxy is not allowed. Any Director or Supervisor absent without reasons twice continually shall be considered to resign from the Institute and shall be replaced by Standby Director or Standby Supervisor. CHAPTER VIl. EXPENDITURES Article 31 The expenditures of the Institute shall be financed from the following sources:
Member Initiation Fee Annual Dues Full Member NT$300 NT$300 Junior Member NT$100 NT$100 Honorary Member exempt exempt Institutional Member exempt NT$10,000 – NT$250,000The payment standard shall be made by resolution of Finance Committee and approval of the Board of Directors. (2) Academic research subsidies; (3) Voluntary donations; (4) Interest from the Foundation Fund of the Institute; (5) Income from services. Article 32 To simplify the paying procedure, all members may prepay annual dues in advance, the procedure for which shall be provided for separately. Article 33 Any member whose membership fee overdue more than one year shall be subjected to terminate the right of membership; overdue three years shall be subjected to expel. Article 34 The fiscal year of the Institute is from January 1 till December 31 of the same year. Article 35 The yearly budget of the Institute shall be budgeted by each committee presenting budget estimate in the beginning of the year to the Secretary General along with Finance Committee for summarizing budget documents and shall be executed after reviewed and approved by the Board of Directors. The Secretary General shall conduct the final account at the end of year, the related certificates and statements shall be issued to and adopted by the Board of Directors and shall be transferred to Board of Supervisors for verification, then presented to the Board of Directors for finalization in next February as well as submitted to the related organization for approval. The Institute budget shall be reported to the General Assembly next year.
CHAPTER VIII. SUPPLEMENTARY PROVISIONS Article 36 Should the Institute be dissolved, its remaining assets shall not be considered as the property of any person or private enterprises. Article 37 The bylaws, rules, regulations, and procedures of the Institute shall be separately provided for. Article 38 The Constitution of the Institute shall be adopted by the General Assembly and submitted to the Ministry of Interior for approval. Article 39 The amendments to the Constitution may be proposed by more than five Full Members with written request, which shall be resolved by presenting at the General Assembly Meeting after reviewed and approved by the Board of Directors. Article 40 The Institute which established under the rules and regulations of Marshal Period Civil Institution Law is a social institution and non-profitable. |
